Last month, I did a presentation in conjunction with the German American Chamber of Commerce in Atlanta on Key Sales Terms and Conditions. This presentation covers some of the key issues that are likely to arise in negotiating a machinery supply contract.

Several years ago, it became a common practice for those involved in buying or selling complex machinery to enter into non-disclosure agreements (also known as confidentiality agreements or "NDAs") before sharing information and discussing the sale. NDAs have become so commonplace that many business people forget that they are binding legal agreements that can have real consequences.
Other business people seem to believe a myth that there is a "standard" NDA, or, put somewhat differently, that all NDAs are the same. There is no "standard" NDA and NDA forms often vary in important ways. I recently wrote an article that was published in Bloomberg's Corporate Counselor newsletter regarding the basics of NDAs.
